Terms & Conditions

Clear Terms Make Better Working Relationships.

These Terms explain the rules for using the SparkHub360 website and the general conditions that apply before and during a service engagement. A project-specific quotation, proposal or agreement may add to or replace parts of these general terms.

Effective 30 August 2026 Website + service terms Project agreement takes priority

Before we work together

Three Things To Understand First.

The website helps you explore services and start a conversation. A formal engagement begins only when the applicable commercial terms are accepted.

01

An enquiry is not a contract

Contacting us, requesting a callback or asking for a quotation does not automatically create a project, confirmed price or obligation to proceed.

02

Scope should be written

Deliverables, pricing, payment milestones, timelines and exclusions should be recorded in the applicable quotation, proposal, order or agreement.

03

Project terms take priority

If a signed or accepted project agreement conflicts with these general Terms, the project-specific agreement controls for that engagement.

General website & service terms

Terms & Conditions

These are general terms. They should be read together with any quotation, proposal, statement of work, order form, invoice terms or other agreement specifically issued for your project.

Effective and last updated: 30 August 2026

1. Acceptance of these Terms

By accessing or using this website, you agree to use it in accordance with these Terms and applicable law. If you submit an enquiry or request a service, these Terms also describe the general basis on which that interaction may proceed until a more specific agreement applies.

If you do not agree with these Terms, you should not use the website in a manner that requires acceptance of them or submit information for a service you do not wish us to process.

2. About the website and our services

SparkHub360 provides website, software, SEO, digital marketing and related technology services. Information published on this website is intended to explain our capabilities and help prospective clients decide whether to contact us.

Service descriptions are general. The exact functionality, deliverables, support level, integrations, licences, assumptions and exclusions for a project must be confirmed in the relevant commercial document.

3. Authority to make a business enquiry

If you contact us on behalf of a company, partnership, institution, organisation or other person, you represent that you are authorised to provide the information submitted and to communicate with us regarding the proposed requirement.

A person accepting a quotation or agreement on behalf of an organisation should have authority to bind that organisation to the applicable terms.

4. Enquiries, callbacks and quotation requests

Sending a contact form, service enquiry, callback request or quotation request is an invitation to discuss a requirement. It does not by itself:

  • oblige SparkHub360 to accept the project;
  • reserve resources or a delivery date;
  • confirm a final scope or price;
  • create an employment, agency, partnership or joint venture relationship; or
  • create a binding service contract unless the applicable acceptance requirements have been completed.

We may ask for additional information before deciding whether we can prepare a quotation or proceed with a project.

5. When a service contract is formed

A service engagement is normally formed when the parties accept the applicable quotation, proposal, statement of work, order form or agreement in the manner specified in that document, and any required initial payment or other stated condition has been satisfied.

If a project-specific document conflicts with these general Terms, the project-specific document will prevail for that project to the extent of the conflict.

6. Scope, assumptions and change requests

We will perform the work described in the accepted project scope. Features, pages, content, integrations, revisions, migrations or services not included in that scope are not automatically included in the agreed price.

A requested change may affect cost, delivery time, dependencies and testing. Material changes should be agreed in writing before implementation. We may pause out-of-scope work until the commercial impact is accepted.

7. Client responsibilities

Unless a project agreement states otherwise, the client is responsible for providing accurate and timely information, decisions, access and materials reasonably required for the project. This may include:

  • brand assets, text, images, product or service information;
  • domain, hosting, API, advertising or third-party account access;
  • business approvals, legal text and regulatory information;
  • review and feedback within agreed timeframes; and
  • confirmation that materials supplied to us may lawfully be used.

Delays in approvals, content, credentials or other client dependencies may move the delivery schedule.

8. Fees, taxes and payments

Project fees, payment milestones, taxes and payment methods will be stated in the applicable quotation, invoice or agreement. Unless expressly stated otherwise, a website price or package description should not be treated as a final quotation for a customised requirement.

Amounts due should be paid by the applicable due date. Where an accepted project allows us to pause work for overdue payment, the resulting pause may affect the original delivery schedule.

Cancellation and refunds

Cancellation, refund, advance-payment and milestone rules depend on the particular service and will be governed by the accepted quotation, agreement or applicable refund/cancellation policy. Nothing in these Terms removes rights that cannot lawfully be excluded.

9. Timelines and delivery estimates

We aim to meet agreed schedules, but delivery dates may depend on approvals, content, third-party systems, platform reviews, access credentials, scope changes and other dependencies.

Unless a project agreement expressly states that a date is guaranteed, published or estimated timelines should be treated as good-faith estimates rather than an unconditional guarantee.

10. Third-party services and platforms

Projects may depend on services that we do not own or control, including domain registrars, hosting providers, payment gateways, advertising platforms, social networks, APIs, email services, plugins, software licences or app stores.

Third-party services may have their own fees, terms, privacy rules, approval processes, availability limits and technical changes. Unless we expressly agree otherwise, SparkHub360 is not responsible for a third-party service changing, suspending or discontinuing its platform.

11. Intellectual property

Each party retains ownership of intellectual property it owned before the project or developed independently of the project. This includes our reusable know-how, methods, frameworks, utilities, libraries, templates and development tools unless the project agreement expressly transfers them.

Ownership or licence rights in custom project deliverables will be governed by the accepted project agreement and, where applicable, may become effective only after payment of all amounts due for those deliverables.

You represent that you have the necessary rights or permissions for text, images, trademarks, data, software or other materials you provide to us for use in the project.

12. Confidential information

During a project, either party may receive non-public business, technical or commercial information from the other. Where information is identified as confidential or would reasonably be understood to be confidential, the receiving party should use reasonable care and use it only for the relevant business purpose, subject to any more specific confidentiality agreement.

Confidentiality obligations do not apply to information that is lawfully public, independently developed, rightfully received from another source, or required to be disclosed by law.

13. Acceptable use of this website

You must not use the website to:

  • submit unlawful, fraudulent, abusive or deliberately misleading information;
  • attempt unauthorised access to accounts, servers, data or administrative areas;
  • introduce malware or deliberately interfere with website availability;
  • scrape or automate requests in a manner that materially disrupts the service;
  • impersonate another person or misrepresent your authority; or
  • infringe intellectual-property, privacy or other legal rights.

We may block or restrict activity that reasonably appears abusive, fraudulent, insecure or unlawful.

14. Website information and availability

We try to keep website information accurate and useful, but service descriptions, examples, availability, technology references and other content may change. Content on the public website is general information unless expressly incorporated into an accepted project agreement.

We may modify, suspend or discontinue parts of the public website for maintenance, security, operational or business reasons.

15. Warranties and service expectations

Any project-specific warranty, support commitment, service level or defect correction period will be stated in the applicable agreement. Except for commitments expressly made in an agreement and rights that cannot lawfully be excluded, the public website and general information are provided on an “as available” basis.

Results from SEO, advertising, digital marketing or third-party platforms can be affected by competition, platform policies, algorithms, budgets, market conditions and user behaviour. Unless expressly guaranteed in writing, we do not promise a particular search ranking, sales volume, advertising outcome or revenue result.

16. Limitation of liability

To the extent permitted by applicable law, neither party should be liable for indirect, incidental, special or consequential loss merely because such loss was theoretically foreseeable. Any project-specific liability cap, exclusions or remedies should be stated in the accepted service agreement.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

17. Mandatory consumer and statutory rights

These Terms are not intended to exclude any right, remedy, guarantee or protection that applicable law does not permit the parties to exclude. Where you qualify as a consumer under applicable law, mandatory consumer protections continue to apply.

18. Suspension, cancellation and termination

Project suspension, cancellation or termination rights will primarily be governed by the applicable project agreement. Depending on that agreement, termination may require payment for completed work, committed third-party costs, licences or other non-recoverable expenses.

We may suspend website access or an affected service where reasonably necessary for security, unlawful use, material breach or non-payment, subject to applicable law and the project agreement.

19. Events beyond reasonable control

A party should not be treated as responsible for delay caused by events genuinely beyond its reasonable control, such as major infrastructure failure, natural disaster, governmental restriction, widespread network disruption, labour disruption, war, civil disturbance or failure of a critical third-party platform, provided reasonable steps are taken to reduce the impact where possible.

20. Electronic communications and acceptance

You agree that business communications may take place electronically, including through email, website forms, digitally issued quotations, invoices and other electronic records.

Where a contract is otherwise validly formed, the fact that proposals, acceptances or related records are communicated electronically does not by itself make the contract unenforceable. The Information Technology Act, 2000 recognises contracts formed through electronic means.

21. Privacy and personal information

Our handling of personal information collected through the public website is described in our Privacy Policy. Project agreements may contain additional data-processing or confidentiality provisions where a particular engagement requires them.

22. Governing law and disputes

These general Terms are governed by the laws of India. The parties should first attempt in good faith to resolve a service-related dispute through direct communication.

Subject to any different dispute-resolution clause in the applicable project agreement and any mandatory forum provided by law, courts having competent jurisdiction in Jamshedpur, Jharkhand, India will have jurisdiction over disputes arising from these Terms.

23. Changes to these Terms

We may update these Terms to reflect changes to the website, services, business practices or applicable requirements. The current version and effective date will be published on this page.

Changes to these general website Terms do not automatically rewrite an already accepted project agreement unless that agreement expressly permits such a change.
